License Specification

Personal License: Build unlimited projects as an individual.

Team License: Build unlimited projects as a team.

This License Agreement ("Agreement") is entered into between Ready SaaS, and you, the user ("Licensee"), regarding the use of the Ready SaaS coding boilerplate (the "Product") available at https://www.readysaas.app (the "Website"). By downloading, accessing, or using the Product, Licensee agrees to be bound by the terms and conditions of this Agreement.

1. Grant of License

1.1 Personal License

Subject to the terms and conditions of this Agreement, Ready SaaS grants Licensee a non-exclusive, non-transferable, and non-sublicensable Personal License to use the Ready SaaS coding boilerplate for the following purposes:

  • Create unlimited projects.
  • Build and develop applications or websites for personal use or commercial use.

1.2 Team License

Subject to the terms and conditions of this Agreement, Ready SaaS grants Licensee a non-exclusive, non-transferable, and non-sublicensable Team License to use the Ready SaaS coding boilerplate for the following purposes:

  • Create unlimited projects.
  • Build and develop applications or websites as part of a team.
  • Share the code with other members of the team.

2. Restrictions

Licensee shall not:

  • Modify, adapt, reverse engineer, decompile, disassemble, or create derivative works based on the Ready SaaS boilerplate for the purpose of creating a new or competing boilerplate product. However, Licensee is permitted to modify, adapt, and create derivative works of the Ready SaaS boilerplate as necessary for the development and customization of their own applications or websites.
  • Remove, alter, or obscure any copyright, trademark, or other proprietary notices from the Ready SaaS boilerplate.
  • Use the Ready SaaS boilerplate in any way that violates applicable laws, regulations, or third-party rights.
  • Sub-license, rent, lease, or transfer the Ready SaaS boilerplate or any rights granted under this Agreement.

3. Ownership and Intellectual Property

Ready SaaS retains all ownership and intellectual property rights in and to the Ready SaaS boilerplate. This Agreement does not grant Licensee any ownership rights in the Ready SaaS boilerplate.

4. Warranty and Disclaimer

THE Ready SaaS BOILERPLATE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NONINFRINGEMENT.

5. Transfer of License

Should the Licensee decide to sell, merge, or otherwise transfer their business or its assets, which include software or materials created using the Ready SaaS boilerplate, the following conditions apply:

  • The License under this Agreement will automatically transfer to the acquiring party ('Transferee') without the need for additional agreements or written consent from Ready SaaS.
  • The Transferee will be subject to all terms and conditions of this Agreement, thereby maintaining the integrity and compliance of the Ready SaaS boilerplate usage.

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, Ready SaaS SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO THE USE OR INABILITY TO USE THE Ready SaaS BOILERPLATE, EVEN IF Ready SaaS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

7. Governing Law and Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of USA, without regard to its conflict of law principles. Any dispute arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts located in USA.

8. Amendments and Updates to This Agreement

Ready SaaS reserves the right to amend or update the terms and conditions of this Agreement at any time. Such amendments or updates will be effective immediately upon posting the revised Agreement on the Ready SaaS website or notifying Licensees by email or other means. Continued use of the Ready SaaS boilerplate by the Licensee following any such changes will constitute acceptance of the new terms and conditions. Licensees are encouraged to periodically review the Agreement for any updates or changes.

9. Entire Agreement

This Agreement constitutes the entire agreement between Licensee and Ready SaaS concerning the subject matter herein and supersedes all prior or contemporaneous agreements, representations, warranties, and understandings.
